Kevin Scott acts as an expert witness and trial consultant in cases involving legal malpractice in transactional settings. Kevin has been a practicing attorney in Pennsylvania since 1987. Prior to becoming an expert witness and legal consultant, Kevin practiced law with Fox Rothschild LLP, first as an associate and then as a partner from 1994 until his retirement from the firm in 2022.

Kevin’s practice included representing buyers and sellers in a wide range of asset sales and business purchases. Many of these transactions involved closely held businesses and included negotiating earn-outs, executive employment agreements and restrictive covenants.  All these transactions involved the negotiation of the nature, scope and survival of representations and warranties, indemnification and limitations of liability.

Kevin also assisted public, private and nonprofit clients in obtaining asset based and other secured, long-term loans, lines of credit and acquisition financing. This work involved negotiating financial and general business covenants, interest rate swap agreements and delivering legal opinions covering authorization, legality and the effectiveness of security interests created under the Uniform Commercial Code. Kevin has acted as bond counsel, borrower’s counsel and underwriter’s counsel for a large number of tax-exempt issuances in Pennsylvania for colleges, healthcare institutions and other nonprofit issuers.

Throughout his career, Kevin has been called upon to prepare or review all types of business contracts, license agreements, supply agreements, partnership/shareholder agreements, escrow deposit agreements and executive employment agreements.
